Rhode Island Hold Harmless Agreement

This Rhode Island Hold Harmless Agreement ("Agreement") is entered into on the _____ day of __________, 20__, by and between ______________________ ("Releasor"), with a mailing address of __________________________________________, and ______________________ ("Releasee"), whose mailing address is __________________________________________. This Agreement pertains specifically to the following described event or activity ("Activity"): _________________________________________.

WHEREAS, the Releasor desires to participate in the Activity, and the Releasee is interested in allowing the participation of the Releasor in the Activity, subject to the terms of this Agreement;

THEREFORE, for valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

  1. Indemnification and Hold Harmless. The Releasor agrees to hold harmless and indemnify the Releasee, its affiliates, officers, agents, employees, and successors from any claims, lawsuits, damages, losses, expenses, and any other liability, including attorney’s fees and costs, arising out of or in connection with the Activity, whether caused by the negligence of the Releasee or otherwise.
  2. Assumption of Risk. The Releasor acknowledges and understands that participation in the Activity involves inherent risks and dangers, including the risk of bodily injury or death, and hereby assumes all such risks, known and unknown.
  3. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Rhode Island, without giving effect to any principles that provide for the application of the law of another jurisdiction.
  4. Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
  5. Amendment. No amendment or modification of this Agreement shall be effective unless it is in writing and signed by both parties.
  6. Severability. If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
  7. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, legal representatives, successors, and assigns.
