This Non-disclosure Agreement (hereinafter referred to as the "Agreement") is made and entered into on the ____ day of __________, 20__, by and between ______________________ (hereinafter referred to as the "Disclosing Party"), whose address is ____________________________________, and ______________________ (hereinafter referred to as the "Receiving Party"), whose address is ____________________________________. Both parties agree to adhere to the terms outlined herein in accordance with the laws of the State of Rhode Island.

1. Definition of Confidential Information

Confidential Information refers to any data or information, oral or written, treated as confidential that the Disclosing Party has disclosed or may disclose to the Receiving Party during the term of this Agreement, including but not limited to:

  • Business operations and strategies,
  • Customer details,
  • Product specifications,
  • Technical processes,
  • Financial data,
  • and any other information that should reasonably be recognized as confidential information of the Disclosing Party.

2. Exclusions from Confidential Information

Information is not deemed confidential and is therefore excluded from the provisions of this Agreement if it:

  1. Is or becomes public knowledge through no fault of the Receiving Party,
  2. Was known by the Receiving Party prior to its disclosure by the Disclosing Party,
  3. Is received from a third party without breach of any obligation of confidentiality,
  4. Or is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

  • Keep the Confidential Information in strict confidence,
  • Restrict access to the Confidential Information to those of its employees or agents who require it for the purpose of fulfilling their job duties, and ensure they comply with the provisions of this Agreement,
  • Use the Confidential Information solely for the purpose of fulfilling the objectives of this Agreement and not for any other purpose,
  • And return or destroy all copies of the Confidential Information upon termination of this Agreement or at the request of the Disclosing Party.

4. Term

The Agreement commences on the date first written above and remains in effect until the Confidential Information no longer qualifies as a trade secret or until ______________________ (Disclosing Party) sends ______________________ (Receiving Party) written notice terminating the Agreement, whichever occurs first.

5. Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Rhode Island, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Rhode Island.
